Terms of Service

1. Acceptance of Terms

By accessing or using the Senzo platform, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Senzo provides a workforce intelligence platform for healthcare organizations. Our Services include real-time workforce monitoring (Senzo Pulse), predictive workforce planning (Senzo Forecast), dashboards, analytics, alerts, and related tools designed to help health systems manage their workforce operations.

3. Account Registration

To access the platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable regulations
  • Upload data that you do not have the right to share, or that violates patient privacy regulations
  • Attempt to gain unauthorized access to the platform, other accounts, or related systems
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to develop a competing product or service
  • Interfere with or disrupt the integrity or performance of the Services

5. Data Ownership and Licensing

Your Data: You retain all ownership rights to the workforce data you upload to Senzo. We do not claim ownership of your data. You grant us a limited license to process your data solely for the purpose of providing the Services.

Our Platform: Senzo retains all intellectual property rights in the platform, including software, algorithms, models, designs, documentation, and trademarks. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Services.

6. Service Level and Availability

We strive to maintain 99.9% platform uptime. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.

7. Fees and Payment

Fees for the Services are set forth in your subscription agreement or order form. All fees are non-refundable unless otherwise specified. We may adjust pricing with at least 30 days' written notice prior to your next renewal period.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and to use it only for the purposes of performing under these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.

9. Limitation of Liability

To the maximum extent permitted by law, Senzo's total liability arising from or related to these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the claim. Senzo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available." Senzo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Senzo does not warrant that the Services will be uninterrupted, error-free, or secure. The platform provides workforce intelligence and analytics - it does not constitute medical, legal, or clinical advice.

11. Termination

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services ceases. We will make your data available for export for 90 days following termination, after which it will be securely deleted.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or a notice within the platform at least 30 days before they take effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
